Purpose:
XRI is seeking an experienced, business-minded attorney to serve as Senior Counsel. Reporting to the General Counsel, this position will provide legal support across a broad range of commercial matters. The Senior Counsel will work closely with business leaders to provide practical legal guidance, manage contractual risk, and support strategic business objectives.
This role is designed for a transactional attorney with strong generalist and commercial contracting experience who can independently manage day-to-day legal matters while collaborating with more senior attorneys on more complex legal, regulatory, and corporate initiatives. The ideal candidate will be a trusted business partner with excellent judgment, strong communication skills, and the ability to balance legal risk with operational needs.

Role/Responsibilities:
Commercial Contracts
- Draft, review, negotiate, and manage a broad range of commercial agreements.
- Master Service Agreements
- Supply and Procurement Agreements
- Non-Disclosure Agreements
- Software and Technology Agreements
- Consulting and Professional Services Agreements
- Easements, Rights-of-Way, and Surface Use Agreements
- EPC and Construction agreements
- Advise internal stakeholders on contract interpretation, risk allocation, indemnity provisions, insurance requirements, and dispute resolution provisions.
- Develop and maintain contract templates and contracting best practices.
Claims, Litigation, & Dispute Management
- Assist with management of claims, disputes, and pre-litigation matters.
- Manage active litigation, coordinating with outside counsel when necessary.
- Support internal investigations and legal responses to regulatory inquiries.
Land & Real Estate
- Work with the Land team to provide legal review and advice on land and real estate documents, including rights of way, easements, and surface use agreements.
- Coordinate and manage, along with landowner disputes.
Intellectual Property
- Coordinate with outside counsel, as needed, to protect XRI’s intellectual property through patent filings and prosecutions, and filing for trademark and copyright protections.

Required Qualifications
- Juris Doctor (JD) from an accredited law school.
- Licensed and in good standing to practice law in Texas.
- 7-10 years of legal experience, preferably with a combination of law firm and in-house experience.
- Significant experience drafting, reviewing, and negotiating commercial agreements, including services agreements.
- Strong understanding of contract law, risk management, and business operations.
- Excellent analytical and negotiation skills.
- Ability to manage multiple priorities in a fast-paced environment.
- Organized and detail oriented.
- Strong verbal and written communication skills.
Preferred Qualifications
Experience supporting energy, oilfield services, water midstream, infrastructure, environmental, industrial, or related industries.
- Experience working directly with business leaders and operational teams.
